Queen Law Firm has recently completed a cross-border financing legal project involving a Chinese financial institution, a Chinese law firm, and a Chinese-invested company operating in Indonesia, and has issued a formal Indonesian law legal opinion in connection with the transaction.
In this transaction, a Chinese bank proposed to extend new offshore financing to a Chinese-invested company duly established and operating in Indonesia. A Chinese law firm participated in coordinating relevant aspects of the transaction, while Queen Law Firm acted as Indonesian legal counsel, conducting an independent review of the Indonesian law issues arising from the proposed financing and issuing the corresponding legal opinion.
The transaction involved a significant cross-border element. In addition to the financing itself, the matter required consideration of the borrower’s corporate status, corporate governance and authority, business compliance, cross-border financing regulation, validity of the transaction documents, and dispute resolution arrangements.
Based on the corporate records, regulatory materials, transaction documents, and publicly available judicial information actually obtained and reviewed for the project, Queen Law Firm carried out a focused analysis of the Indonesian law issues directly relevant to the proposed new financing and prepared an independent legal opinion on that basis.
The legal opinion primarily addressed whether the borrower had valid legal capacity to obtain the financing, whether it possessed the requisite authority to execute and perform the relevant transaction documents, and whether any material issue under Indonesian law could prevent or materially affect the implementation of the proposed financing.
In handling the matter, Queen Law Firm also carefully distinguished between historical matters, matters falling within the specific scope of the present review, and commercial terms that remained subject to finalisation. This approach was intended to ensure consistency between the factual basis, the scope of review, and the legal conclusions, while meeting the standards of independence and reliability generally expected by financial institutions in cross-border transactions.
As Chinese investment in Indonesia continues to expand across sectors such as manufacturing, energy, mining, and infrastructure, demand for cross-border financing from Chinese financial institutions to Indonesian project companies has also continued to grow. Transactions of this nature typically require coordination across multiple jurisdictions in relation to corporate governance, financing regulation, transaction documentation, and enforcement arrangements, and therefore require both sound legal judgment and practical cross-border transaction experience.
Queen Law Firm regularly advises Chinese companies, investment institutions, and financial institutions on investment, financing, mergers and acquisitions, corporate governance, and dispute resolution matters in Indonesia. The successful completion of this project further demonstrates the firm’s capabilities in cross-border financing and Indonesian commercial legal services.
Queen Law Firm will continue to provide professional, prudent, and practically focused Indonesian legal support to Chinese companies and financial institutions conducting investment and financing activities in Indonesia.
To comply with professional confidentiality obligations and client information protection requirements, the identities of the relevant bank, Chinese law firm, borrower, and specific transaction details have been anonymised in this article.
